These Purchase Terms & Conditions (“Agreement”) govern all purchases and services provided by Taylor Scott LLC. By purchasing services from Taylor Scott LLC, you agree to the following terms.
1. Services Provided
Taylor Scott LLC provides digital and business services including but not limited to:
Website design and development
AI automation solutions
AI voice assistants
CRM setup and integrations
SEO and digital marketing
Hosting and maintenance services
Consulting and related technology services
Service details, pricing, and deliverables may vary based on individual proposals or invoices.
2. Estimates & Proposals
All quotes, estimates, and proposals are valid for 30 days unless otherwise stated.
Project scope, pricing, and timelines are based on the information provided by the client at the time of the proposal.
Changes to project scope may require revised pricing and timelines.
3. Payment Terms
Deposits
Projects may require an upfront deposit before work begins. Deposits are generally non-refundable once work has started.
Invoices
Invoices are due according to the payment schedule outlined in your proposal or invoice.
Late Payments
Late payments may result in:
Suspension of services
Delayed project completion
Late fees where permitted by law
Taylor Scott LLC reserves the right to withhold final files, website launches, or deliverables until payment is received in full.
4. Subscription & Recurring Services
Certain services may be billed monthly or annually, including:
Hosting
Website maintenance
AI assistant services
CRM services
Marketing services
Software subscriptions
Recurring services automatically renew unless canceled in writing prior to the renewal date.
Clients are responsible for canceling services before the next billing cycle.
5. Refund Policy
Due to the custom nature of digital services:
Deposits and setup fees are generally non-refundable
Completed work is non-refundable
Partial refunds may be considered at Taylor Scott LLC’s discretion for incomplete work
No refunds are guaranteed for:
Strategy services
Consulting
Marketing services already performed
Third-party software or subscriptions
Custom development work
6. Client Responsibilities
Clients agree to:
Provide timely feedback and approvals
Supply necessary content, credentials, and materials
Ensure submitted content does not violate laws or third-party rights
Maintain backups of important data when applicable
Project delays caused by missing client materials or communication may impact delivery timelines.
7. Revisions & Additional Work
Project proposals may include a limited number of revisions.
Additional revisions, edits, or scope changes beyond the original agreement may incur additional charges.
8. Website Launch & Acceptance
A project may be considered complete when:
The website or service is delivered
Final approval is given
The website is launched
The client fails to respond within a reasonable timeframe after delivery
Once accepted or launched, the project is considered fulfilled.
9. Third-Party Services & Platforms
Taylor Scott LLC may use third-party providers including but not limited to:
Hosting providers
Payment processors
SMS providers
Clients understand that third-party platforms may change pricing, policies, or functionality without notice.
Taylor Scott LLC is not responsible for outages, policy changes, or interruptions caused by third-party services.
10. Intellectual Property
Unless otherwise agreed in writing:
Taylor Scott LLC retains ownership of proprietary systems, frameworks, and pre-existing materials
Clients receive usage rights to completed deliverables upon full payment
Unpaid work remains the property of Taylor Scott LLC
Taylor Scott LLC may display completed projects in portfolios or marketing materials unless otherwise agreed.
11. Limitation of Liability
Taylor Scott LLC is not liable for:
Lost profits
Lost business opportunities
Data loss
Website downtime
Third-party service failures
Indirect or consequential damages
Maximum liability shall not exceed the total amount paid for the applicable service.
12. Chargebacks & Payment Disputes
Clients agree to contact Taylor Scott LLC first to resolve billing concerns before initiating chargebacks or payment disputes.
Fraudulent chargebacks may result in collection activity and suspension of services.
13. SMS & Communication Consent
By providing your contact information, you consent to receive communications related to services, billing, support, and updates.

Taylor Scott LLC does not sell, share, rent, or disclose SMS opt-in data or consent information to third parties or affiliates for marketing purposes.
